Tax

We provide a full complement of services concerning tax matters for individuals, partnerships, and closely-held corporations. The firm’s practice includes tax planning, as well as representation before the Internal Revenue Service, Federal and State tax courts, and various other state and local tax authorities.

We also advise clients on the tax aspects of business organizations, including acquisitions and mergers, dispositions, and liquidations. While much of our work relates to federal tax law, we also deal extensively in real estate transfer taxes and real property tax appeals, and other areas of state and local taxation. We regularly counsel businesses concerning the effect and application of taxes on their operations.

Residential Real Estate

Buying or selling your home is one of the most important decisions you make. We can help in this process and assist buyers and sellers “from a to z” with the purchase or sale of their co-ops, condos and single or multi-family homes, including:

  1. Review and negotiation of the real estate contract;
  2. Explanation of the real estate contract and mortgage commitment;
  3. Resolving any issues (including issues of repair, termite damage, etc.) prior to closing;
  4. Correspondence with the seller’s attorney, title company and mortgage company;
  5. Preparation for closing, including obtaining necessary title work;
  6. Review of mortgage commitment and title commitment; and
  7. Representation at closing.

Commercial Real Estate

Commercial transactions are more complicated than residential ones and require extra attention to certain covenants and contingencies.  Particularly important is the clause regarding existing tenants, which should specify the apportionment of rent payments and who bears the responsibility of evicting holdover or non-paying tenants. Among other items, our services for commercial real estate transactions include:

  1. Review and negotiation of the commercial contract of sale;
  2. Review of underlying leases (for properties with Tenants);
  3. Preparation of Attorney Opinion Letter for the Lender (if necessary);
  4. Resolving any issues (including tenant issues, title problems, repairs, etc.) prior to closing;
  5. Correspondence with the seller’s attorney, title company and mortgage company,
  6. Preparation for closing, including obtaining necessary title work;
  7. Review of mortgage commitment and title commitment;
  8. Commercial lease drafting and negotiation;
  9. Drafting, reviewing and negotiating contracts between General Contractors and Sub-Contractors, or individuals/entities hiring the contractors;
  10. Assisting contractors in obtaining business loans;
  11. Assisting contractors in opening or closing (dissolving) business entities; and
  12. Drafting, reviewing and negotiating construction partnership agreements.

Business Transactions

We provide counsel to entrepreneurs and early-stage businesses, special purpose enterprises and joint ventures as well as seasoned businesses.

For new businesses, we assist with:

  1. the choice of entity decisions,
  2. capitalization and ownership structure,
  3. business buy-sell agreements.

We advise medium and small business clients in:

  1. the formation of corporations (Subchapter C and Subchapter S),
  2. limited and general partnerships,
  3. limited liability companies and partnerships,
  4. joint ventures, as well as
  5. nonprofit enterprises.

We also advise in the due diligence process for established businesses that seek growth through acquisitions.
